Welcome to Chronos. By accessing or using our services, you agree to be bound by these Terms of Service. Please read them carefully.
1. Use of Service
You must be at least 13 years old to use Chronos. You agree not to misuse the service or access it using unauthorized means. You are responsible for ensuring that your use of Chronos complies with all applicable laws and regulations.
2. Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
3. Payment Terms and Refund Policy
Subscription Plans: Chronos offers both free and paid subscription plans. Paid plans are billed on a monthly or annual basis, as selected during checkout.
Payment Processing: Payments are processed securely through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method for the subscription fee and any applicable taxes.
Billing Cycle: Subscription fees are charged in advance on a recurring basis. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
Refund Policy: We offer a 14-day money-back guarantee for new subscriptions. If you are not satisfied with Chronos within the first 14 days of your paid subscription, contact us at support@chronoscalendar.com for a full refund. After the 14-day period, refunds are provided at our discretion and may be prorated based on the remaining subscription period.
Price Changes: We reserve the right to modify subscription prices at any time. Price changes will not affect your current billing period but will apply to subsequent renewals. We will notify you of any price changes at least 30 days in advance.
Failed Payments: If a payment fails, we will attempt to charge your payment method again. If payment continues to fail, we may suspend or cancel your subscription. You remain responsible for any outstanding fees.
4. Subscription Cancellation Policy
Cancellation: You may cancel your subscription at any time through your account settings or by contacting support at support@chronoscalendar.com. Cancellation takes effect at the end of your current billing period.
Access After Cancellation: After cancellation, you will continue to have access to paid features until the end of your current billing period. At that time, your account will be downgraded to the free plan, and you will lose access to paid features.
No Refund for Partial Periods: Cancellation does not entitle you to a refund for the unused portion of your current billing period, except as provided in our refund policy above.
Reactivation: You may reactivate your subscription at any time. Upon reactivation, you will be charged the current subscription rate.
5. User-Generated Content
Your Content: You retain ownership of any content you create, upload, or share through Chronos, including calendar events, team messages, and other user-generated content.
License to Use: By using Chronos, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and display your content solely for the purpose of providing and improving the service. This license terminates when you delete your content or account, except as necessary to comply with legal obligations.
Content Responsibility: You are solely responsible for your content and represent that you have all necessary rights to grant us the license described above. You agree not to upload content that violates any third-party rights or applicable laws.
Content Removal: We reserve the right to remove any content that violates these Terms or that we determine is harmful, offensive, or inappropriate.
6. Prohibited Uses
You agree not to use Chronos to:
- Violate any applicable laws, regulations, or third-party rights
- Transmit any malicious code, viruses, or harmful software
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the service or servers connected to the service
- Use automated systems (bots, scrapers) to access the service without permission
- Impersonate any person or entity or misrepresent your affiliation with any entity
- Collect or harvest information about other users without their consent
- Use the service for any illegal, fraudulent, or harmful purpose
- Reverse engineer, decompile, or disassemble any part of the service
- Resell, sublicense, or otherwise commercialize the service without our written permission
7. Intellectual Property
All content, branding, and software associated with Chronos, including but not limited to logos, designs, text, graphics, and code, are the property of Chronos or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reuse, reproduce, or distribute any content from Chronos without our express written permission.
8. Termination
Termination by You: You may terminate your account at any time by deleting your account through the account settings or by contacting support. Upon termination, your access to the service will cease immediately.
Termination by Us: We reserve the right to suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent or illegal activity, or for any other reason we deem necessary to protect the service or other users.
Effect of Termination: Upon termination, your right to use the service will immediately cease. We may delete your account and all associated data, subject to our data retention policies as described in our Privacy Policy. You will not be entitled to a refund for any unused portion of your subscription.
Survival: Sections of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property rights, limitation of liability, and dispute resolution provisions.
9. Limitation of Liability
No Warranties: Chronos is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Service Availability: We do not guarantee that the service will be available at all times, uninterrupted, or error-free. We may experience downtime due to maintenance, updates, or unforeseen circumstances.
Limitation of Damages: To the maximum extent permitted by law, Chronos and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the service.
Maximum Liability: Our total liability to you for all claims arising out of or relating to the use of or inability to use the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.
10. Dispute Resolution
Informal Resolution: Before filing a claim, you agree to contact us at support@chronoscalendar.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute in good faith within 30 days.
Binding Arbitration: If we cannot resolve the dispute informally, you and Chronos agree to resolve any disputes arising out of or relating to these Terms or the service through binding arbitration, except as provided below. Arbitration will be conducted under the rules of the American Arbitration Association (AAA).
Exceptions to Arbitration: Either party may bring a lawsuit in small claims court or to seek injunctive relief for intellectual property violations without first engaging in arbitration.
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], United States, without regard to its conflict of law provisions.
